| The INSURrECTION Music Library can be licensed on a strict non-exclusive basis to meet your specific requirements and level of use:
Demo “temp-track” licensing is granted upon download. These tracks may be used in demo spots and productions only, and may not be broadcast or used for any other purpose whatsoever. YOUR TARGETED USE MUST BE REPORTED BEFORE USING, AND THE LICENSING FEE MUST BE PAID IN FULL as per the following: Blanket Licensing: Available on a yearly or multi-year basis. We can customize a package and license to suit your production needs.
Needledrop Licensing: Based on each separate use of any title and type of application. You pay only for the music and clearance you use.
Production Blanket: Rates applied for multiple needledrops used within any one production. Blanket production fees are based upon type of clearance and length of production.
NOTE : Any music downloaded may not be copied or re-recorded for any purpose without a written license from Insurrection Music. |

| Insurrection Music reserves the right to prohibit any user from using the Site and related services who, in Insurrection Musics sole discretion, violates any provision of this Agreement or engages in conduct that Insurrection Music determines to be disruptive to the operation of the Site and the services. Such prohibition may occur without notice to the user.
You agree to indemnify, defend and hold harmless Insurrection Music, its affiliates and its sponsors against any and all claims, damages, costs or other expenses that arise directly or indirectly out of or from (a) your breach of this Agreement, (b) your violation of the Agreement and/or (c) your activities in connection with the Site. |

| This Agreement is entered into in the State of Tennessee, United States of America, and shall be governed by and construed in accordance with the laws of the State of Tennessee, exclusive of its choice of law rules. Each party to this Agreement submits to the exclusive jurisdiction of the state and federal courts sitting in the City of Nashville in the State of Tennessee, and waives any jurisdictional, venue or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys fees. In the event that any of the provisions of this Agreement are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and any and all written or oral agreements heretofore existing between the parties hereto with respect to the subject matter of this Agreement are expressly canceled. Insurrection Music may modify the terms of this Agreement by posting notice of such modification on a page of the Site entitled "Legal Notices" or "Legal Information" (or similar title) before the modification takes effect. |
